Arqualea is an entertainment product published by Alamosoft, hereinafter referred to as the publisher.
Alamosoft is a company registered in the Bastia trade register on January 8, 2018 under number 834 429 730. Alamosoft is a SASU with capital of €500, domiciled at 3538 chemin d'Agliani, 20600 Bastia, France.
Arqualea is a digital product for computer, console or mobile devices developed under Unreal Engine 5.
Arqualea is an immersive SF-themed virtual universe. It is at once a game, a game aggregator, a social network, an event platform and an e-commerce platform.
Arqualea is a community project. A community is invited to participate in the design, production and operation of the product in exchange for tokens called GMIN. The community is open. You can take part in the project by registering on the "Arqualea le club" platform.
The community will also be involved in the game's functional governance and project financing.
Members of the community can participate in the development of the game by taking part in the ICO on the ico.arqualea.com website, or by taking part in the stories on the club.arqualea.com website.
To reward the community, Alamosoft will issue 5,000,000 (5 million) GMINs on the Polygon blockchain. These GMINs will be distributed as follows:
After the launch of the Arqualea product, at the end of each year, 25% of the game's revenues will be shared with the community, in proportion to the GMINs owned on the basis of addresses declared on the "Arqualea the club" platform.
GMINs owned by the community do not confer any governance rights on Alamosoft.
The GMINs owned do not give any right of governance over strategic decisions concerning the Arqualea product, which are the exclusive responsibility of the publisher.
Consequently, the GMINs owned by the community can in no way be considered as securities or assets of the publishing company or the product.
Stories rewards
GMINs paid for story-related work are considered rewards and not salaries. They will be taxed in accordance with the legislation in force in the member country concerned.
There is no relationship of subordination between the publisher and the members of the community.
Each member of the community is free to leave at will.
Story rewards are only paid out once the work has been accepted and validated by the publisher.
Work carried out in the context of the stories cannot be integrated into the product without validation, and therefore without payment of the reward.
Stories can be assigned to teams or individual community members.
When a member subscribes to a story, he/she undertakes to deliver it on the expected date. In the event of delay, the member must obtain a postponement from the publisher or abandon the project.
Acceptance of story applications is the sole prerogative of the publisher.
In some cases, a story may be entrusted to several members or several teams.
In the event of disputes within a project team, the editor will intervene to arbitrate.
The number of GMINs rewarded for a story is set by the editor. If several members or teams take part in the story, the editor will divide the reward between the different players.
If a team participates in a story, the team leader is responsible for the team's share of the reward. In the event of a conflict arising from the completion of a story, the editor may intervene and compensate a member who has been unfairly treated.
Due to current legislation and the need for accurate information for the payment of annual royalties, each member of the community must have :
- An ERC20 address to which GMIN rewards and MATIC royalties will be paid
- Validation of personal data (KYC) on the "Arqualea le club" website
Royalties
Once the Arqualea product is open to the public (outside the beta or alpha phase), it will generate revenues.
A portion of 25% of these revenues will be placed in an account for the payment of royalties.
At the end of each operating year, this sum will be divided between the various members of the community in proportion to the GMINS owned.
These sums will be paid out to community members in MATIC.
Only users with an up-to-date profile on the Arqualea club will benefit from this royalty payment.
Under no circumstances can these payments be considered as dividends.
They will be taxed in accordance with the legislation in force in the member country concerned.
GDPR
As a company registered on French territory, Alamosoft is subject to the General Personal Data Regulation (GDPR).
As such, Alamosoft only retains the data necessary to process the Arqualea product service.
In the event of unsubscription, the user's data will be deleted.
If an account remains inactive for more than two years, it will be contacted by email with a view to renewing membership or deleting it. If there is no response after 30 days, the account will be deleted.
However, for reasons of service commitment, the data of "the club" members will only be deleted if the account holder has a balance of 0 GMIN on his ERC20 address, in order to ensure payment of the royalties due to him/her.
Accounts with a positive balance can only be eliminated if the royalty payment commitment comes to an end.
Usage
Alamosoft does not send personal data from game or club users to third parties. The data is used only by Alamosoft and only to operate the service.
Receiving information from Alamosoft is optional and can be activated or deactivated at any time on the various sites operated by Alamosoft on the Arqualea project.
